1. Acceptance of Terms
By accessing or using SurtitleLive (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. Your continued use of the Service constitutes acceptance of any updated Terms.
1.1 Privacy Policy Integration:
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2. Beta Testing Phase & Service Availability
2.1 Experimental Nature:
SurtitleLive is currently in its "Beta" stage. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. It may contain bugs, errors, or inaccuracies.
2.2 Accuracy Disclaimer:
The Service utilizes AI for translation and script analysis. We do not guarantee the linguistic, legal, or cultural accuracy of AI-generated outputs. Users are solely responsible for reviewing and approving all content before live deployment.
2.3 AI-Generated Content Disclaimer:
AI-assisted translations and script analyses provided by the Service are offered solely as assistive tools. SurtitleLive does not guarantee that AI-generated content will be accurate, complete, lawful, culturally appropriate, or free from offensive or inappropriate material.
You acknowledge that AI-generated output may contain errors, omissions, or culturally sensitive content. You remain solely responsible for reviewing, approving, and determining the suitability of any content displayed to audiences. AI-generated content does not constitute professional, legal, or advisory services of any kind.
2.4 Backup Obligation:
While SurtitleLive provides cloud storage for your convenience, it is not intended as a long-term archival service. You are responsible for maintaining independent backups of all User Content. Given the unpredictable nature of live performances, Users are strictly responsible for maintaining a backup system (e.g., offline files or alternative display methods). SurtitleLive is not liable for failures caused by network instability, server outages, or third-party service failures.
2.5 Modifications to Service:
We reserve the right to modify, suspend, or discontinue any part of the Service (including specific AI features or pricing tiers) at any time during the Beta phase.
2.6 Network Dependency:
SurtitleLive is a cloud-based service that requires a stable and active internet connection for both the User (operator) and the Audience (viewers).
- User Responsibility: You are solely responsible for ensuring the performance venue has adequate Wi-Fi or cellular data coverage.
- Audience Access: We are not responsible for the inability of audience members to access the Service due to venue network congestion, local firewall restrictions, or the audience's individual device connectivity issues.
- Data Costs: Users and their audience are responsible for any data charges incurred while using the Service.
3. User Accounts
3.1 Account Security:
You are responsible for maintaining the confidentiality of your credentials.
3.2 Termination Rights:
SurtitleLive reserves the right to suspend or terminate accounts that violate these Terms without prior notice or liability.
4. Restrictions & Acceptable Use
You agree not to, and you will not permit any third party to:
4.1 Account Sharing:
Share, transfer, or allow access to your account credentials with any other individual or entity outside of your authorized production team, except as expressly permitted by the Service or your subscription plan.
4.2 Resale, Rental, or White-Label Use:
Sell, resell, rent, lease, sublicense, distribute, or otherwise commercially exploit the Service, including offering the Service as part of a bundled, white-label, or managed service, without SurtitleLive's prior written consent.
4.3 Circumvention of Usage Limits:
Attempt to bypass, manipulate, or circumvent any technical or contractual limitations of the Service, including but not limited to limits on credits, projects, viewers, live deployments, audience links, or subscription tiers.
4.4 Reverse Engineering and Misuse:
Reverse engineer, decompile, disassemble, modify, or attempt to derive the source code, underlying models, algorithms, or system architecture of the Service, except to the extent expressly permitted by applicable law.
4.5 Abuse, Interference, and Security:
Use the Service in a manner that interferes with, disrupts, or degrades the integrity, performance, or availability of the Service or its infrastructure. This includes, but is not limited to:
- Attempting Prompt Injection, "jailbreaking," or other manipulative techniques designed to bypass AI safety filters or extract system-level instructions.
- Uploading content containing malicious scripts, code, or exploits (e.g., Cross-Site Scripting / XSS).
- Engaging in unauthorized penetration testing or security probing without prior written consent.
4.6 Prohibited Content:
You may not use the Service to create, translate, display, or distribute any content that:
- (a) violates applicable laws or regulations;
- (b) infringes intellectual property or privacy rights of any third party;
- (c) contains hate speech, harassment, or discriminatory material;
- (d) promotes violence, illegal activity, or abuse.
4.7 Security Monitoring:
SurtitleLive employs automated security tools to monitor and scan User Content for technical threats (e.g., XSS, malicious code, or injection attacks). We reserve the right to immediately remove content or suspend accounts that trigger these security alerts to protect the Service and other users.
SurtitleLive reserves the right to suspend or terminate access for violations of this subsection.
SurtitleLive has no obligation to monitor, review, or pre-approve user content, but reserves the right to do so.
Violation of this Section may result in immediate suspension or termination of your account, without refund, in addition to any other remedies available to SurtitleLive under these Terms or applicable law.
4.8 Unauthorized Audience Conduct:
SurtitleLive provides technical tools to display subtitles. You (the User) acknowledge that visual content displayed on audience devices is susceptible to unauthorized recording, screenshotting, or manual transcription by third parties. SurtitleLive shall not be liable for any unauthorized reproduction or distribution of User Content by audience members. While the Service may provide optional security features, any security features provided are deterrent measures only and do not guarantee prevention of unauthorized conduct. The ultimate responsibility for protecting intellectual property during a live performance rests with the User (e.g., through venue policies, clear announcements, ticket terms, or on-site enforcement).
5. Content Ownership & Intellectual Property
5.1 Your Content:
You retain full ownership of the scripts and documents you upload ("User Content").
5.2 IP Warranty:
You warrant that you possess all necessary licenses for the content you upload.
5.3 Compliance:
Users are responsible for ensuring that their use of the Service, including how the Service is made available to audiences, complies with applicable laws, venue policies, and copyright restrictions.
5.4 Indemnification:
You agree to indemnify SurtitleLive against any claims arising from copyright infringement related to your User Content.
5.5 Service IP and Improvements:
All rights, title, and interest in and to the Service, including all improvements, features, enhancements, and modifications, whether developed independently or based on user feedback, shall remain the exclusive property of SurtitleLive. For clarity, this provision does not affect your ownership of User Content.
5.6 Suggestions and Feedback:
Any suggestions, feedback, ideas, or improvements you provide regarding the Service may be used by SurtitleLive without restriction. You hereby grant SurtitleLive a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate such suggestions into the Service, without compensation or attribution. Such suggestions shall be deemed non-confidential.
6. Fees & Refund Policy
6.1 Definition of Deliverables & Consumed Service:
For the purposes of this Section, “Deliverables” include any files or outputs exported or downloaded from the Service, including but not limited to PPTX, XLSX, PDF, or other production-ready formats. Once Deliverables have been exported or downloaded, the Service shall be deemed "Consumed" in full for that billing period.
6.2 Subscription Refund Eligibility & Grace Periods:
- 3-Day "Experience" Refund: Within three (3) days of your initial purchase, you may request a full refund even if you have used AI Credits for translation or analysis, provided that NO "Pro-Level Use" (as defined in §6.3) has occurred.
- 7-Day "Unused" Refund: Between day 4 and day 7 of your purchase, you may request a refund ONLY if the Service remains entirely "Unused." Unused means zero (0) AI credits consumed, zero (0) live sessions initiated, and zero (0) files exported.
- After 7 Days: All fees are strictly non-refundable after seven (7) days from the billing date.
6.3 Pro-Level Use (The "No-Refund" Trigger):
Notwithstanding any grace period or refund window stated above, the Service shall be deemed fully rendered and NON-REFUNDABLE immediately upon any of the following "Pro-Level Use":
- (a) Exporting or Downloading any Deliverables (including but not limited to PPTX, XLSX, or PDF);
- (b) Initiating a Live Show or deploying a performance link to an audience;
- (c) Bulk AI Processing exceeding a system-defined threshold intended for evaluation-only use.
6.4 Paid Credits:
Paid Credits are one-time credit purchases that never expire and are consumed after your weekly free credits run out.
⚠️ Non-Refundable Policy for Credit Purchases
All credit purchases are strictly non-refundable. This policy applies from the moment of purchase, regardless of whether the credits have been used. By purchasing credits, you acknowledge and accept that no refunds will be issued under any circumstances, including but not limited to:
- Unused or partially used credits
- Change of mind after purchase
- Dissatisfaction with AI translation quality
- Technical issues or service interruptions
- Account deletion or deactivation
Please carefully consider your credit needs before purchasing. We recommend starting with a smaller credit pack to evaluate the Service before committing to larger purchases.
6.5 Service Termination upon Refund:
Upon approval of any refund, all active live deployments, audience links, and AI-processed data associated with the billed period will be immediately deactivated and rendered inaccessible.
6.6 Processing & Fees:
Approved refunds will be processed within 14 days. All refunds are limited to the net amount actually received by SurtitleLive. Non-refundable payment processing fees (e.g., Stripe fees) or currency conversion costs are the responsibility of the user.
7. Limitation of Liability
7.1 Indirect Damages:
To the maximum extent permitted by law, SurtitleLive shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or show cancellations).
7.2 No Liability for Show Failure:
SurtitleLive shall not be held liable for any financial losses, reputation damage, or ticket refund obligations arising from technical interruptions during a live performance.
7.3 Liability Cap:
In no event shall SurtitleLive's total cumulative liability exceed the amount paid by you to SurtitleLive in the twelve (12) months preceding the claim.
Regardless of the forum or procedure used to resolve any dispute (including negotiation, small claims court, mediation, arbitration, or litigation), the limitations and exclusions of liability set forth in this Section shall apply to the fullest extent permitted by law.
8. Dispute Resolution, Governing Law & Jurisdiction
8.1 Good Faith Negotiation:
Before initiating any formal dispute resolution process, you and SurtitleLive agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to the Service or these Terms through good faith negotiations. Either party may provide written notice of a dispute, and both parties agree to engage in informal discussions for at least thirty (30) days before pursuing other remedies.
8.2 Class Action Waiver:
To the maximum extent permitted by applicable law, you and SurtitleLive agree that any dispute, claim, or proceeding shall be brought solely on an individual basis. Neither party shall seek to have any dispute heard as a class action, collective action, or representative proceeding.
8.3 Small Claims Court:
Notwithstanding the foregoing class action waiver, either party may bring an individual claim in a small claims court of competent jurisdiction, provided that the claim qualifies for such court and remains in such court.
8.4 Optional Mediation or Arbitration:
If a dispute cannot be resolved through good faith negotiation, the parties may mutually agree to resolve the dispute through mediation or arbitration conducted in Alberta, Canada, under procedures agreed upon by both parties. Mediation or arbitration shall be voluntary and shall occur only with the mutual written consent of both parties.
8.5 Injunctive and Equitable Relief:
Nothing in this Section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights, misuse of the Service, or unauthorized access.
8.6 Governing Law and Courts:
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada. Subject to the dispute resolution provisions above, the courts located in the Province of Alberta shall have jurisdiction over disputes arising under these Terms.
